Terms of Service

We provide software and infrastructure to create, configure, resolve, and analyze short links and related organization features. We may change, suspend, or discontinue features; where materially adverse to paying customers, we will use reasonable efforts to provide notice if contractually required.

You must provide accurate registration information and keep credentials secure. You are responsible for all activity under your account and for ensuring that your admins, members, and invitees comply with these Terms. Third-party authentication or hosting providers may apply their own terms.

You are solely responsible for every destination URL you shorten, every short link you publish, and every use of the Service by you and your organization—including compliance with law, contracts, intellectual property rights, privacy obligations, advertising rules, and industry standards.

URL Zen does not control and is not responsible for third-party websites or content reached through your links. We do not endorse destinations you configure. You represent and warrant that you have all rights necessary to create and distribute your links and to collect or process any data your use of the Service entails.

No responsibility for user misconduct. To the maximum extent permitted by applicable law, URL Zen and its owners, directors, employees, contractors, and suppliers are not liable for any misconduct, unlawful activity, negligence, or intentional wrongdoing by you, your users, your customers, or any third party in connection with the Service—including without limitation phishing, malware or harmful code, harassment, fraud, spam, infringement, defamation, misrepresentation, illegal gambling, export violations, or any other illegal or tortious conduct carried out using short links, branded domains, APIs, or analytics—whether or not URL Zen could have monitored or prevented it. Nothing in these Terms obligates URL Zen to police all user content or destinations; we may investigate reports and suspend or terminate accounts or links where we reasonably believe necessary to protect the Service, others, or comply with law.

You will not, and will not assist others to:

• Violate applicable law or infringe others’ intellectual property, privacy, publicity, or other rights
• Distribute malware, conduct phishing or credential harvesting, or deceive users about where a link leads
• Send unsolicited bulk communications in violation of anti-spam law
• Attack, probe, or overload the Service; bypass security; or access data or systems without authorization
• Resell or sublicense the Service in violation of your plan or our written agreement
• Use the Service to build or facilitate a competing redirect or URL shortening product without our prior written consent

Workspace owners and admins are responsible for membership, permissions, and domain verification. You are responsible for DNS configuration and for traffic presented on hostnames you attach to the Service.

If you subscribe to paid features, fees and billing terms are set in the order flow or separate agreement. Taxes may apply. Failure to pay may result in suspension.

We retain all rights in the Service, branding, and documentation. You retain your content; you grant us a non-exclusive license to host, process, transmit, and display your content as needed to operate and improve the Service and to comply with law.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL URL ZEN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO URL ZEN FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

You will defend, indemnify, and hold harmless URL Zen and its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, your links and destinations, your use of the Service, your violation of these Terms or law, or misconduct by you or your users—including third-party claims related to redirects, analytics, or branded domains you operate.

You may stop using the Service at any time. We may suspend or terminate access for breach, risk to the Service or others, non-payment, or legal requirement. Provisions that by their nature should survive will survive termination.

These Terms are governed by the laws of the jurisdiction in which URL Zen’s operator is organized, excluding conflict-of-law rules, unless mandatory consumer protections in your country say otherwise. Courts in that jurisdiction have exclusive venue, subject to mandatory arbitration or venue rules that apply to you.

Replace the foregoing with a specific state or country and dispute resolution clause after you confirm your legal entity and preferred venue with counsel.

We may modify these Terms by posting an updated version. If a change is material, we will provide reasonable notice where required. Continued use after the effective date constitutes acceptance.

These Terms constitute the entire agreement regarding the Service and supersede prior understandings on that subject. If a provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver.
